1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER
This Purchase Order is issued by Sakura Digital Holdings K.K. to formally authorize and procure the recruitment, onboarding, and initial engagement of a Marketing Manager for the Japan Tokyo regional office. The Marketing Manager shall be responsible for overseeing all brand strategy, digital marketing campaigns, consumer engagement programs, and market research activities specific to the Japan Tokyo metropolitan area and its surrounding prefectures. This Purchase Order governs the full scope of services rendered by Tokyo Executive Talent Partners Inc. in identifying, vetting, and placing a qualified Marketing Manager candidate who meets the operational, cultural, and linguistic requirements of a Japan Tokyo-based role.

3. TERMS AND CONDITIONS
3.1 This Purchase Order is binding upon written acceptance by Tokyo Executive Talent Partners Inc. and constitutes the sole agreement between the parties regarding the procurement of the Marketing Manager services described herein for the Japan Tokyo office.
3.2 The Marketing Manager candidate must demonstrate fluency in both Japanese and English, possess a minimum of seven (7) years of progressive marketing experience, and exhibit a thorough understanding of the Japan Tokyo consumer market, including digital platforms, retail ecosystems, and regional cultural nuances.
3.3 Payment terms: 40% upon execution of this Purchase Order, 40% upon successful placement and commencement of the Marketing Manager in the Japan Tokyo office, and 20% upon completion of the 90-day performance review period.
3.4 The Supplier warrants that all services rendered under this Purchase Order shall comply with the Labor Standards Act of Japan, the Personal Information Protection Act (APPI), and all applicable municipal regulations governing employment in Japan Tokyo.
3.5 Any modifications to the scope, timeline, or deliverables of this Purchase Order must be documented in a written amendment signed by authorized representatives of both parties. Verbal agreements regarding the Marketing Manager engagement in Japan Tokyo shall not be enforceable.
3.6 In the event of non-performance or material breach by the Supplier, Sakura Digital Holdings K.K. reserves the right to terminate this Purchase Order with immediate effect and seek a full refund of any pre-paid amounts, subject to a 14-day written notice period.
3.7 This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the Marketing Manager engagement in Japan Tokyo shall be resolved through arbitration in Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
4. DELIVERY AND COMMENCEMENT SCHEDULE
The Supplier shall ensure that the Marketing Manager is fully operational in the Japan Tokyo office no later than 15 August 2025. All preliminary deliverables, including the market intelligence dossier and candidate shortlist, must be submitted to the Buyer’s procurement department in Shibuya, Tokyo, no later than 15 July 2025. The Supplier shall provide weekly progress reports via email to the designated procurement officer until the Marketing Manager’s first day of active duty in Japan Tokyo.
5. CONFIDENTIALITY AND DATA PROTECTION
All candidate data, salary information, and strategic marketing plans shared in connection with this Purchase Order and the subsequent Marketing Manager engagement in Japan Tokyo shall be treated as strictly confidential. The Supplier shall not disclose any proprietary information of Sakura Digital Holdings K.K. to third parties without prior written consent. Compliance with Japan’s APPI and Tokyo Metropolitan data handling guidelines is mandatory throughout the duration of this Purchase Order and for a period of three (3) years thereafter.
