1. Description of Procurement
This Purchase Order is issued by Apex Digital Solutions Sdn. Bhd. (hereinafter referred to as the "Purchasing Entity") to TalentBridge Executive Search Sdn. Bhd. (hereinafter referred to as the "Service Provider") for the recruitment, onboarding, and initial engagement of a Marketing Manager position. The Marketing Manager shall be based at the Purchasing Entity's principal office located in Malaysia Kuala Lumpur and shall report directly to the Chief Executive Officer. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the procurement of the Marketing Manager role as specified herein.
2. Scope of Services and Position Requirements
The Marketing Manager engaged under this Purchase Order shall be responsible for the following duties and responsibilities within the Malaysia Kuala Lumpur market:

3. Payment Terms
The total amount of this Purchase Order shall be paid in accordance with the following schedule:
3.1 – 40% (MYR 25,320.00) shall be payable within 14 calendar days from the date of this Purchase Order upon confirmation of the shortlisted Marketing Manager candidate.
3.2 – 40% (MYR 25,320.00) shall be payable within 14 calendar days from the confirmed start date of the Marketing Manager at the Malaysia Kuala Lumpur office.
3.3 – 20% (MYR 12,660.00) shall be payable within 14 calendar days from the successful completion of the 90-day strategic marketing plan deliverable.
All payments shall be made via bank transfer to the Service Provider's designated account. The Purchasing Entity reserves the right to withhold payment if any deliverable specified in this Purchase Order is not met to the satisfaction of the Chief Executive Officer.
4. Terms and Conditions
- This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia, specifically the Contracts Act 1950 and the Employment Act 1955 as applicable to engagements in Malaysia Kuala Lumpur.
- The Marketing Manager shall be required to work a minimum of five (5) days per week at the Purchasing Entity's office in Malaysia Kuala Lumpur, with a standard working week of 40 hours. Any overtime shall be compensated in accordance with Malaysian labour regulations.
- The Service Provider warrants that the Marketing Manager candidate shall possess a valid work permit or Malaysian citizenship, and shall comply with all immigration and employment regulations in force in Malaysia Kuala Lumpur.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, marketing strategies, client data, and business plans disclosed during the engagement of the Marketing Manager. This obligation shall survive the termination of this Purchase Order for a period of twenty-four (24) months.
- Intellectual Property: All marketing materials, strategies, campaigns, and deliverables produced by the Marketing Manager in the course of employment shall be the sole property of the Purchasing Entity.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Service Provider shall refund any unearned fees proportionally.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur before the Malaysian Mediation Centre. If mediation fails, the dispute shall be referred to the courts of competent jurisdiction in Malaysia Kuala Lumpur.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the procurement of the Marketing Manager position.
5. Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of the Marketing Manager position in Malaysia Kuala Lumpur.
