1. Scope of Engagement: This Purchase Order authorizes the procurement of a Marketing Manager to be stationed and performing duties exclusively within Mexico, Mexico City. The Marketing Manager shall report directly to the Director General of Grupo Comercial del Valle and shall manage all marketing operations, including but not limited to digital marketing, brand strategy, market research, public relations, and sales enablement for the Mexico City metropolitan region.
2. Legal Compliance: All services rendered under this Purchase Order shall comply with the Ley Federal del Trabajo, the Código Fiscal de la Federación, the Ley del Impuesto Sobre la Renta, and all applicable Mexico City municipal regulations. The service provider shall ensure that the Marketing Manager is properly registered with the IMSS, SAT, and any other relevant Mexican governmental bodies.
3. Payment Schedule: Payment for this Purchase Order shall be made in monthly installments via bank transfer to the account designated by Talento Estratégico Consultores, S.A. de C.V. The first payment shall be due within thirty (30) calendar days from the date of this Purchase Order. All payments shall be denominated in Mexican Pesos (MXN) and shall include the applicable 16% IVA as established by Mexican tax law.
4. Deliverables and KPIs: The Marketing Manager shall deliver quarterly performance reports, annual marketing strategy plans, and monthly campaign performance analyses. Key performance indicators shall include brand awareness growth in Mexico City, digital engagement metrics, lead generation targets, and return on marketing investment (ROMI) benchmarks agreed upon at the commencement of the engagement.
5. Termination Clause: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of early termination, the Marketing Manager's severance obligations as defined by Mexican labor law shall be fulfilled by the purchasing entity. All outstanding invoices for services rendered up to the termination date shall be settled within fifteen (15) business days.
6. Confidentiality: The Marketing Manager shall be bound by a non-disclosure agreement (NDA) in accordance with Mexican intellectual property law (Ley Federal de Protección a la Propiedad Industrial). All proprietary data, client information, and strategic plans of Grupo Comercial del Valle shall remain strictly confidential throughout and after the term of this Purchase Order.
7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Mexico City, Mexico, or through arbitration before the Centro de Arbitraje y Conciliación de la Ciudad de México, as applicable.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies as declared by the Mexican federal or Mexico City local authorities.
