1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, specifically the Contract Act, 2056 (1999) and the Companies Act, 2063 (2006). Any disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 2055 (1998).

2. Payment Schedule: The recruitment fee (Line Item 1) shall be payable within 15 days of successful placement and the Marketing Manager commencing duties. Monthly compensation (Line Item 2) shall be disbursed on the last working day of each calendar month via bank transfer to the account designated by the Marketing Manager. 7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, floods common in the Kathmandu Valley), government-imposed lockdowns, or acts of war in Nepal.
