- 1. Scope of Work: All services described in this Purchase Order are exclusively for the recruitment and onboarding of a Marketing Manager for the Netherlands Amsterdam office of Amsterdam Digital Solutions B.V. No additional services shall be rendered without a written amendment to this Purchase Order.
- 2. Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice from TalentBridge Recruitment Group N.V. Payment shall be processed via bank transfer to the supplier's designated account in the Netherlands. The total amount due under this Purchase Order is EUR 24,805.00, inclusive of 21% Dutch VAT.
- 3. Delivery and Timeline: The Marketing Manager candidate shall be identified and presented to the Amsterdam Digital Solutions B.V. leadership team no later than 45 business days from the date of this Purchase Order. The onboarding program shall commence within 10 business days of the candidate's acceptance of the offer.
- 4. Confidentiality: All information exchanged in connection with this Purchase Order, including candidate data, salary benchmarks, and internal strategy documents related to the Marketing Manager role, shall be treated as strictly confidential in accordance with the Dutch General Data Protection Regulation (AVG/GDPR) and the mutual Non-Disclosure Agreement dated 01 March 2025.
- 5. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent court in Amsterdam, Netherlands.
- 6. Cancellation: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation by Amsterdam Digital Solutions B.V. after the recruitment search has commenced, a cancellation fee of 25% of the total Purchase Order value shall apply.
- 7. Compliance: All services rendered under this Purchase Order shall comply with Dutch employment law, anti-discrimination regulations, and the applicable provisions of the Dutch Civil Code (Burgerlijk Wetboek) regarding commercial agreements.
