4. TERMS AND CONDITIONS- Delivery and Commencement: The Supplier shall ensure that the Marketing Manager is fully onboarded and operational at the Purchaser's office in Russia Saint Petersburg no later than 30 business days from the acceptance of this Purchase Order. All onboarding activities shall take place at the address specified in Section 1.
- Payment Terms: Payment shall be made in three (3) installments: 40% upon signing of this Purchase Order, 35% upon successful placement and first-month performance review of the Marketing Manager, and 25% upon completion of the 90-day onboarding period. All payments shall be transferred via bank wire to the Supplier's designated account in rubles.
- Qualification Requirements: The Marketing Manager candidate must hold a minimum of a Bachelor's degree in Marketing, Business Administration, or a related field, possess at least five (5) years of progressive experience in marketing management, demonstrate fluency in both Russian and English, and have proven experience managing marketing operations in the Saint Petersburg or broader Northwestern Federal District market.
- Performance Guarantee: The Supplier guarantees the performance and suitability of the Marketing Manager for a period of twelve (12) months. In the event the Marketing Manager resigns, is terminated for cause, or fails to meet agreed-upon KPIs within this period, the Supplier shall provide a qualified replacement at no additional cost to the Purchaser.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, marketing strategies, client data, and business plans shared in connection with this Purchase Order. This obligation shall survive the termination of the engagement for a period of three (3) years.
- Compliance with Local Regulations: All services rendered under this Purchase Order shall comply with the labor laws of the Russian Federation, the municipal regulations of Saint Petersburg, and all applicable tax obligations. The Supplier is responsible for ensuring the Marketing Manager is properly registered and all employment documentation is in order.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. If unresolved within thirty (30) days, the matter shall be submitted to the Arbitration Court of the City of Saint Petersburg, Russia, in accordance with the procedural rules of the Russian Federation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Saint Petersburg.
