This Purchase Order is issued by Meridian Pacific Holdings Pte. Ltd. (hereinafter referred to as the "Buyer") to Apex Talent Solutions Pte. Ltd. (hereinafter referred to as the "Supplier") for the recruitment, placement, and onboarding facilitation of a Marketing Manager to be based in the Buyer's headquarters located in Singapore Singapore. The Supplier shall be responsible for sourcing, screening, interviewing, and presenting qualified candidates for the Marketing Manager role in accordance with the specifications outlined in this Purchase Order and the attached job description.

The Supplier shall provide the following services in connection with this Purchase Order for the Marketing Manager position in Singapore Singapore:

• Conduct a comprehensive market scan across Singapore Singapore and the broader Southeast Asian region to identify qualified Marketing Manager candidates with a minimum of seven (7) years of progressive experience in brand strategy, digital marketing, and consumer engagement.
• Perform initial screening, competency assessments, and structured interviews for all shortlisted Marketing Manager candidates in compliance with the Employment Act of Singapore Singapore and the Personal Data Protection Act (PDPA) of Singapore Singapore.
• Present a minimum of three (3) fully vetted Marketing Manager candidates to the Buyer within thirty (30) calendar days from the date of this Purchase Order.
• Facilitate background checks, reference verification, and employment eligibility confirmation for the selected Marketing Manager candidate in accordance with the legal requirements of Singapore Singapore.
• Provide onboarding support and a ninety (90) day post-placement guarantee for the Marketing Manager, during which the Supplier shall replace the candidate at no additional cost should the individual resign or be terminated for cause.

1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.
2. The Supplier warrants that all Marketing Manager candidates presented shall meet the minimum qualifications specified in Annexure A of this Purchase Order and shall hold valid work authorization (Employment Pass, S Pass, or equivalent) as required by the Ministry of Manpower of Singapore Singapore.
3. Payment under this Purchase Order shall be made via bank transfer to the Supplier's designated account in Singapore Singapore within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Late Payment of Interest Act of Singapore Singapore.
4. The Supplier shall maintain strict confidentiality regarding the Buyer's business operations, strategic plans, and the identity of the Marketing Manager candidate throughout the engagement and for a period of two (2) years following the completion of this Purchase Order.
5. Neither party shall be liable for failure to perform obligations under this Purchase Order due to force majeure events, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics declared by the relevant authorities.
6. This Purchase Order constitutes the entire agreement between the parties with respect to the recruitment of the Marketing Manager and supersedes all prior negotiations, representations, and agreements relating to the subject matter herein.
7. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall be deemed null and void under the laws of Singapore Singapore.
