This Purchase Order is issued by Seoul Digital Solutions Co., Ltd. (hereinafter referred to as the "Purchasing Entity") to Hanbit Executive Recruitment Group (hereinafter referred to as the "Vendor") for the professional recruitment, placement, and onboarding of a Marketing Manager position to be based in the Seoul metropolitan office located in Gangnam-gu, South Korea Seoul. The Marketing Manager will be responsible for overseeing all digital marketing campaigns, brand strategy development, consumer analytics, and cross-functional coordination with the product and sales divisions operating within the South Korea Seoul market. This Purchase Order governs the full scope of services, compensation structure, and contractual obligations associated with the procurement of this senior marketing leadership role.

The Vendor shall deliver the following services in connection with this Purchase Order for the Marketing Manager role in South Korea Seoul:

Conduct a comprehensive executive search targeting qualified Marketing Manager candidates with proven track records in the South Korea Seoul consumer technology and digital services market.
Present a minimum of five (5) shortlisted candidates within thirty (30) calendar days of the Purchase Order issue date, each accompanied by detailed résumés, reference checks, and competency assessments.
Facilitate all interview scheduling, background verification, and reference confirmation in coordination with the Purchasing Entity's Human Resources department located in Seoul, South Korea.
Provide a guaranteed replacement clause: should the placed Marketing Manager resign or be terminated for cause within the first twelve (12) months of employment in South Korea Seoul, the Vendor shall provide a replacement candidate at no additional fee.
Assist with the preparation of the employment contract in compliance with the South Korea Seoul Metropolitan City labor ordinances and the national Labor Standards Act of the Republic of Korea.
Deliver a 90-day post-placement performance review report to the Purchasing Entity's Chief Operating Officer.

Payment Schedule: 40% of the Executive Search Fee (Item 001) due upon successful placement and first-day commencement of the Marketing Manager in South Korea Seoul. The remaining 60% is due upon completion of the 90-day probationary period.
Salary Disbursement: Monthly base salary (Item 002) shall be processed through the Purchasing Entity's payroll system on the last business day of each month, in accordance with South Korea Seoul banking and tax withholding regulations.
Payment Method: All payments shall be made via bank transfer to the Vendor's designated account at Woori Bank, Seoul Central Branch, South Korea Seoul. Wire reference shall include the Purchase Order number PO-2025-SKL-00847.
Tax & Withholding: All applicable Korean Value Added Tax (VAT) at 10% and personal income tax withholdings shall be applied as mandated by the National Tax Service of South Korea Seoul.

This Purchase Order is governed by the laws of the Republic of Korea, with jurisdiction vested in the Seoul Central District Court, South Korea Seoul.
The Marketing Manager shall be subject to a non-compete and non-solicitation agreement for a period of eighteen (18) months following termination of employment, applicable to the South Korea Seoul metropolitan area and all affiliated markets.
Confidentiality obligations under the Purchasing Entity's proprietary information policy shall extend to all candidates reviewed under this Purchase Order and to the Marketing Manager during and after employment.
Any disputes arising from this Purchase Order shall first be subject to mediation through the Seoul International Arbitration Center before proceeding to litigation.
The Vendor warrants that all candidates presented shall have valid work authorization or eligibility for work visa sponsorship in South Korea Seoul.
This Purchase Order may be amended only in writing, signed by authorized representatives of both parties, and shall remain in effect for the duration of the Marketing Manager's initial twelve-month contract term.
