TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of Marketing Manager recruitment and placement services. All terms are governed by the laws of Spain, with specific reference to the commercial and labor regulations applicable in the region of Catalonia, Spain Barcelona.
The Supplier warrants that the Marketing Manager candidate shall possess a minimum of 8 years of progressive marketing experience, including at least 3 years in a senior leadership role managing cross-functional teams. The candidate must demonstrate fluency in both Spanish and Catalan, with professional proficiency in English, to effectively operate within the Spain Barcelona business environment.
Payment shall be made via bank transfer (SEPA) to the Supplier's designated account in Spain Barcelona within 30 calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Spanish Late Payment Directive (Ley 3/2004).
The Marketing Manager's employment contract shall be issued in accordance with the Estatuto de los Trabajadores (Royal Legislative Decree 2/2015) and the applicable Collective Bargaining Agreement (Convenio Colectivo) for the commercial sector in Barcelona. The Supplier is responsible for all Social Security contributions and statutory withholdings (IRPF) associated with the Marketing Manager's compensation.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Marketing Manager candidate, and all proprietary business information exchanged during the recruitment process in Spain Barcelona.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Barcelona, Spain, or alternatively through mediation at the Barcelona Chamber of Commerce (Càmera de Comerç de Barcelona) before any judicial proceedings are initiated.
This Purchase Order is valid for acceptance until 15 July 2025. Acceptance is confirmed by the Supplier's written signature and return of a fully executed copy to the Buyer's procurement department in Spain Barcelona.
The Supplier shall indemnify and hold harmless the Buyer against any claims, liabilities, or penalties arising from non-compliance with Spanish or Catalan employment law in the engagement of the Marketing Manager.
