- This Purchase Order constitutes a binding agreement between Global Solutions Iberia S.L. (hereinafter "the Buyer") and TalentBridge Consulting Group S.L. (hereinafter "the Supplier") for the procurement of executive recruitment and integration services related to the Marketing Manager position.
- All services described in this Purchase Order shall be performed and delivered at the Buyer's registered office in Spain Madrid, unless otherwise agreed in writing by both parties. The Marketing Manager shall commence duties at the Madrid headquarters no later than 30 days following the date of this Purchase Order.
- Payment terms: Net 30 days from the date of invoice receipt. Payment shall be made via bank transfer to the account specified by the Supplier. The Buyer reserves the right to withhold payment if the Marketing Manager fails to meet the agreed-upon performance milestones outlined in the service description.
- The Marketing Manager shall be employed under a standard Spanish indefinite-term contract (contrato indefinido) in full compliance with the Estatuto de los Trabajadores and all applicable collective bargaining agreements (convenios colectivos) relevant to the Spain Madrid region.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Marketing Manager, and all proprietary information exchanged during the engagement. This obligation survives termination of this agreement for a period of two (2) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be submitted to the competent courts of Spain Madrid.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Spain Madrid region.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal agreements regarding the Marketing Manager's scope of duties or compensation shall not be valid.
- The Supplier warrants that the Marketing Manager candidate shall possess a minimum of seven (7) years of progressive marketing experience, fluency in both Spanish and English, and a proven track record of managing multi-channel marketing budgets exceeding EUR 500,000 annually in the Spain Madrid or equivalent European market.
