1. Purpose of Purchase Order

This Purchase Order is issued by Northbridge Digital Solutions Ltd. to formally authorise the procurement of professional recruitment, onboarding, and initial employment services for the position of Marketing Manager based in United Kingdom Manchester. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of a qualified Marketing Manager to lead our regional marketing operations in the Manchester metropolitan area. 3. Scope and Deliverables

The supplier, Apex Talent Partners UK Ltd., shall deliver all services outlined in this Purchase Order in accordance with the following scope. The primary objective is to secure a highly qualified Marketing Manager who will be based at our principal office in United Kingdom Manchester and will be responsible for overseeing all brand strategy, digital marketing campaigns, public relations, and market development activities for the North West region. The Marketing Manager must demonstrate a minimum of seven (7) years of progressive marketing leadership experience, with at least three (3) years in a senior managerial capacity within the UK market. All recruitment activities must be conducted in strict compliance with the Equality Act 2010 and UK data protection legislation (UK GDPR).

4. Terms and Conditions

4.1 This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.

4.2 The supplier shall not assign or subcontract any portion of the services described in this Purchase Order without prior written consent from Northbridge Digital Solutions Ltd.

4.3 All deliverables related to the Marketing Manager recruitment must be completed no later than 28 July 2025 to ensure the appointed Marketing Manager commences employment by 01 August 2025.

4.4 Payment shall be made via BACS transfer to the supplier's designated UK bank account within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-2025-MM-0047).

4.5 The supplier warrants that all candidates presented for the Marketing Manager role will have undergone appropriate right-to-work checks and references in accordance with UK immigration and employment regulations.

4.6 This Purchase Order may be amended only by mutual written agreement between both parties. Any variation must be documented as a formal amendment to this Purchase Order.

4.7 The supplier shall maintain professional indemnity insurance of no less than £5,000,000 for the duration of this Purchase Order engagement.

4.8 All intellectual property generated during the scope of this Purchase Order, including but not limited to marketing strategy documents prepared for the Marketing Manager role, shall remain the sole property of Northbridge Digital Solutions Ltd.

5. Delivery and Acceptance

All physical goods (workstation equipment, software media) shall be delivered to the Northbridge Digital Solutions Ltd. premises at 142 Deansgate, Manchester, M3 4ER, United Kingdom. The Marketing Manager onboarding programme shall take place at the same location. Acceptance of services and goods shall be confirmed in writing by the Procurement Director within five (5) business days of delivery. Failure to raise a written objection within this period shall constitute deemed acceptance under this Purchase Order.

6. Authorisation

This Purchase Order is authorised and approved for execution by the undersigned on behalf of Northbridge Digital Solutions Ltd. The total committed expenditure under this Purchase Order for the Marketing Manager procurement in United Kingdom Manchester is forty-four thousand two hundred and twenty pounds sterling (£44,220.00) inclusive of VAT.
