- This Purchase Order constitutes a binding agreement between Lakeview Strategic Communications Group, LLC (hereinafter "Buyer") and Midwest Executive Talent Partners, Inc. (hereinafter "Vendor") for the procurement of executive recruitment services specifically targeting a Marketing Manager position.
- All services described in this Purchase Order shall be performed in and around the United States Chicago metropolitan area. The Vendor acknowledges that the Marketing Manager will be based at the Buyer's primary office located in United States Chicago, Illinois, and all candidate sourcing shall prioritize professionals with relevant experience in the Chicago market.
- Payment shall be remitted via ACH transfer to the Vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Illinois commercial code provisions applicable in United States Chicago.
- The Vendor warrants that all candidates presented for the Marketing Manager role shall meet the minimum qualifications outlined in the attached job description, including a minimum of seven (7) years of progressive marketing leadership experience and demonstrated familiarity with the United States Chicago business landscape.
- This Purchase Order is subject to the Buyer's right to cancel with written notice if no acceptable Marketing Manager candidate is presented within ninety (90) days of the issue date. In such an event, no fees shall be owed beyond those for services already rendered.
- All communications, deliverables, and contractual obligations under this Purchase Order shall be governed by the laws of the State of Illinois, with venue exclusively in the Circuit Court of Cook County, United States Chicago.
- The Vendor shall maintain full confidentiality regarding the Buyer's internal organizational structure, strategic marketing plans, and the identity of the Marketing Manager candidate throughout the engagement and for a period of two (2) years following its conclusion.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications are expressly void under this agreement.
