- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from this Purchase Order shall be resolved in the courts of Harris County, United States Houston, Texas.
- Payment Terms: All invoices associated with this Purchase Order are due within thirty (30) days of receipt. Payment shall be made via ACH transfer to the Vendor's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month.
- Scope of Work: The Marketing Manager shall perform all duties from the Buyer's primary office located in United States Houston, Texas. Remote work arrangements, if any, must be pre-approved in writing by the Buyer's Director of Human Resources.
- Confidentiality: The Vendor and the placed Marketing Manager shall maintain strict confidentiality regarding all proprietary information, trade secrets, client data, and strategic plans of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance: The Vendor warrants that the Marketing Manager shall comply with all applicable federal, state (Texas), and local (City of Houston) employment laws, anti-discrimination statutes, and industry regulations in force during the term of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. All fees for services rendered prior to termination shall remain due and payable.
- Insurance: The Vendor shall maintain general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $1,000,000 throughout the term of this Purchase Order.
- Intellectual Property: All work product, marketing materials, campaign strategies, and creative assets developed by the Marketing Manager in the course of performing duties under this Purchase Order shall be the sole and exclusive property of the Buyer.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the United States Houston area, acts of government, or pandemics, provided that the affected party gives prompt written notice.
- Entire Agreement: This Purchase Order, together with any attached exhibits and addenda, constitutes the entire agreement between the parties regarding the procurement of the Marketing Manager services and supersedes all prior negotiations, representations, and agreements.
