Terms and Conditions
- This Purchase Order constitutes a binding agreement between Meridian Digital Solutions, Inc. (hereinafter "Buyer") and Apex Executive Talent Partners LLC (hereinafter "Vendor") for the procurement of executive recruitment and onboarding services related to the Marketing Manager position. All services shall be performed at or in connection with the Buyer's principal office located in United States Miami, Florida.
- The Vendor acknowledges that the Marketing Manager role described herein is a full-time, exempt position reporting directly to the Chief Executive Officer. The Vendor shall ensure that all candidate profiles presented meet or exceed the qualifications outlined in the attached job specification document, which forms Exhibit A to this Purchase Order.
- Payment shall be made via ACH transfer to the Vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Florida Statute Chapter 668, governing commercial transactions in the state of Florida, United States.
- All work product, candidate data, and proprietary information generated under this Purchase Order shall remain the exclusive property of the Buyer. The Vendor agrees to maintain strict confidentiality in compliance with the General Data Protection Regulation (GDPR) where applicable and the Florida Information Protection Act (FIPA) for all personal data processed in the United States Miami region.
- The Vendor warrants that all services rendered under this Purchase Order shall be performed in a professional, workmanlike manner and in full compliance with all federal, state, and local laws of the United States, including but not limited to the Equal Employment Opportunity (EEO) provisions enforced by the U.S. Department of Labor and the Miami-Dade County Commission on Human Relations.
- Either party may terminate this Purchase Order with written notice if the other party materially breaches any term herein and fails to cure such breach within fifteen (15) business days of receiving written notice of the breach. Upon termination, the Buyer shall pay for all services satisfactorily completed through the date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising hereunder shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.
- The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the term of this Purchase Order. A certificate of insurance naming the Buyer as an additional insured shall be provided prior to the commencement of services in the United States Miami area.
