This Purchase Order authorizes the procurement of professional recruitment services to identify, evaluate, and place a qualified Marketing Manager for Pacific Crest Digital Solutions, Inc. The Marketing Manager will be responsible for overseeing all digital marketing campaigns, brand strategy, demand generation, and cross-functional marketing operations for the company's San Francisco headquarters and its distributed teams across the United States. The ideal candidate must possess a minimum of seven (7) years of progressive marketing experience, with at least three (3) years in a senior management capacity within the technology or SaaS industry. The role is based in the United States San Francisco office at 1455 Market Street, with a hybrid work schedule of three days per week on-site. The vendor is expected to deliver a shortlist of no fewer than five (5) qualified Marketing Manager candidates within thirty (30) calendar days of the effective date of this Purchase Order.
Terms and Conditions- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via ACH transfer to the vendor's designated bank account. A 1.5% monthly late fee shall apply to any outstanding balance exceeding the payment due date.
- Acceptance of Services: The buyer shall have ten (10) business days from the date of final candidate placement to formally accept or reject the services rendered under this Purchase Order. Failure to respond within this period shall constitute acceptance.
- Confidentiality: All candidate information, compensation data, and internal company strategies shared during the recruitment of the Marketing Manager position shall be treated as strictly confidential. The vendor agrees to maintain NDA compliance in accordance with California Civil Code Section 1798.82 and applicable United States federal privacy regulations.
- Compliance: All services rendered under this Purchase Order shall comply with the California Fair Employment and Housing Act (FEHA), the United States Equal Employment Opportunity (EEO) guidelines, and all applicable San Francisco municipal labor ordinances, including the San Francisco Fair Chance Ordinance.
- Warranty: The vendor warrants that all Marketing Manager candidates presented shall have undergone thorough background checks, reference verifications, and skills assessments. Any material misrepresentation discovered within 180 days of placement shall trigger the replacement guarantee outlined in Line Item 004.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination prior to candidate placement, the buyer shall be liable for 50% of the total contract value as a cancellation fee.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the United States San Francisco area.
