- This Purchase Order constitutes a binding agreement between Andes Digital Solutions C.A. (Buyer) and Talento Ejecutivo Venezuela C.A. (Vendor) for the procurement of professional services related to the recruitment, placement, and onboarding of a Marketing Manager for the Venezuela Caracas office.
- The Vendor shall ensure that the Marketing Manager candidate meets all qualifications specified in the attached job description, including a minimum of seven (7) years of experience in digital marketing, brand strategy, and team leadership within the Venezuelan or Latin American market.
- All services described in this Purchase Order shall be performed in full compliance with the laws of the Bolivarian Republic of Venezuela, including but not limited to the Ley Orgánica del Trabajo, the Ley Orgánica de Prevención, Condiciones y Medio Ambiente de Trabajo (LOPCYMAT), and applicable tax regulations administered by SENIAT in Venezuela Caracas.
- Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via wire transfer to the Vendor's designated bank account in Venezuela Caracas. The Buyer reserves the right to withhold payment for any deliverable not meeting the acceptance criteria defined in this Purchase Order.
- The Vendor guarantees a replacement period of sixty (60) days. Should the appointed Marketing Manager resign, be terminated for cause, or fail to meet performance benchmarks within the first sixty (60) days of employment, the Vendor shall provide a qualified replacement at no additional cost to the Buyer.
- All intellectual property, marketing strategies, client data, and proprietary information developed or accessed by the Marketing Manager during the engagement period shall remain the exclusive property of Andes Digital Solutions C.A. The Vendor shall ensure that the Marketing Manager signs a non-disclosure agreement (NDA) prior to commencing duties in Venezuela Caracas.
- This Purchase Order is subject to the general terms and conditions of the Master Service Agreement (MSA-2024-012) executed between both parties on January 10, 2024. In the event of any conflict between this Purchase Order and the MSA, the terms of this Purchase Order shall prevail.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, currency restrictions, or civil unrest affecting operations in Venezuela Caracas.
- Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas, in accordance with the rules of the Cámara de Comercio de Caracas. The governing law shall be that of the Bolivarian Republic of Venezuela.
- This Purchase Order is valid for thirty (30) days from the date of issue. Acceptance of this Purchase Order by the Vendor constitutes full agreement to all terms, conditions, and line items herein.
