- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vancouver, British Columbia, Canada, in accordance with the rules of the British Columbia Arbitration Institute.
- Delivery and Risk: All materials and services listed in this Purchase Order shall be delivered to the Mason Construction site at 1200 Burrard Street, Vancouver, BC, Canada. Risk of loss transfers to Mason Construction & Supply Ltd. upon delivery and acceptance at the designated Vancouver site. The supplier shall provide 48 hours' written notice prior to delivery.
- Quality Standards: All masonry materials must comply with the Canadian General Standards Board (CGSB) specifications and the Vancouver Building By-law. Mason Construction & Supply Ltd. reserves the right to inspect and reject any materials that do not meet the specified quality standards for masonry work in the Vancouver, Canada region. Rejected items must be replaced within five (5) business days at the supplier's expense.
- Payment: Payment shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the supplier's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the British Columbia Late and Interest on Payments to Small Business Act.
- Tax Compliance: The supplier shall charge the applicable Goods and Services Tax (GST) at the current federal rate of 5% as applicable in British Columbia, Canada. Mason Construction & Supply Ltd. is registered for GST/HST purposes and will provide its GST/HST number on all invoices. No Provincial Sales Tax (PST) applies to this transaction as the materials are for commercial construction use in Vancouver, BC.
- Warranty: The supplier warrants that all masonry materials supplied under this Purchase Order are new, free from defects in material and workmanship, and fit for the intended structural masonry purpose in the Vancouver, Canada climate. The warranty period shall be a minimum of two (2) years from the date of delivery.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather events common to the Vancouver, Canada coastal region, labour disputes, or government-mandated closures. Affected parties must notify Mason Construction & Supply Ltd. within 48 hours of the occurrence.
- Confidentiality: All pricing, specifications, and project details contained in this Purchase Order are confidential and shall not be disclosed to third parties without the prior written consent of Mason Construction & Supply Ltd.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both Mason Construction & Supply Ltd. and the supplier. Verbal agreements regarding changes to scope, quantity, or pricing in Vancouver, Canada are not binding.
