All masonry materials and Mason-branded products listed in this Purchase Order shall be delivered to the Buyer's designated site at the Yizhuang Economic Development Zone, China Beijing, 101111. The Seller is responsible for all packaging, loading, inland transportation from the Shanghai manufacturing facility to China Beijing, and unloading at the Buyer's receiving warehouse. Delivery must be completed no later than 30 July 2025. The Seller shall provide a minimum of 72 hours' written notice prior to each delivery dispatch. All goods must comply with the People's Republic of China national standards GB/T 50081 (concrete and masonry testing) and GB 50203 (masonry structure construction quality acceptance). The Seller shall bear all risk of loss or damage until the materials are physically received and inspected at the China Beijing site. Freight costs are calculated based on the standard route from Shanghai to China Beijing via the Jinghu Expressway (G2) and are included in the total amount stated above.

Upon arrival at the China Beijing delivery point, the Buyer's quality assurance team shall conduct a visual and dimensional inspection of all Mason masonry products within five (5) business days. Any items found to be defective, damaged in transit, or non-conforming to the specifications outlined in Section 2 of this Purchase Order shall be reported to the Seller in writing within the same five-day window. The Seller shall, at its own expense, replace or repair any non-conforming Mason materials within fourteen (14) calendar days of receiving the defect notification. The Seller warrants that all masonry products supplied under this Purchase Order are new, of first quality, and free from manufacturing defects. Certificates of conformity, material test reports, and batch traceability documentation must accompany each shipment to China Beijing.

Payment for this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Seller's designated account. A 30% advance payment (CNY 4,895,364.00) is due within ten (10) business days of the Buyer's written acceptance of this Purchase Order. The remaining 70% balance (CNY 11,422,516.00) shall be paid within fifteen (15) business days following successful delivery, inspection, and acceptance of all Mason masonry materials at the China Beijing site. Late payments shall incur interest at a rate of 0.05% per calendar day on the outstanding balance. The Seller shall issue a valid VAT invoice (fapiao) for the full amount upon receipt of each payment installment.

This Purchase Order is governed by and shall be interpreted in accordance with the Civil Code of the People's Republic of China and the relevant trade regulations applicable in China Beijing. Any disputes arising from or in connection with this Purchase Order shall first be resolved through good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission for arbitration in China Beijing. This Purchase Order constitutes the entire agreement between the Buyer and the Seller regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements. No amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

By signing below, both parties acknowledge and agree to all terms, conditions, specifications, and obligations set forth in this Purchase Order for the supply of Mason masonry materials to the China Beijing project site. This Purchase Order becomes effective upon the signature of both authorized representatives.
