- Delivery Location: All goods shall be delivered to the Mason Construction & Stoneworks Ltd. project site located at 8 Place du Trocadéro, 75116 Paris, France. The supplier is responsible for all transportation, loading, and unloading within the Paris intra-muros zone.
- Delivery Schedule: The supplier shall deliver all materials in accordance with the phased delivery schedule agreed upon by Mason's project management team. Any delay exceeding 48 hours beyond the agreed delivery window shall incur a penalty of 0.5% of the affected line-item value per day of delay.
- Quality Standards: All masonry materials must meet or exceed the specifications defined in the French National Standard NF P 18-303 (natural stone) and NF P 94-500 (mortars). Mason reserves the right to reject any materials that do not conform to the approved samples and technical data sheets provided prior to this Purchase Order.
- Payment Terms: Payment shall be made by bank transfer (virement bancaire) within 45 calendar days of receipt of a valid invoice from the supplier. The invoice must reference this Purchase Order number (MASON-FR-2025-04872) and include the supplier's SIRET and VAT registration numbers as registered in France.
- Warranty: The supplier warrants that all goods supplied under this Purchase Order are free from defects in material and workmanship for a period of five (5) years from the date of delivery. This warranty is in addition to the legal warranty of conformity under French Civil Code Articles 1603–1649.
- Insurance and Liability: The supplier shall maintain adequate insurance coverage for all goods in transit and on-site within Paris. Mason Construction & Stoneworks Ltd. shall not be held liable for damage or loss of materials once they have been delivered and signed for by Mason's site supervisor.
- Compliance with French Law: This Purchase Order is governed by the laws of the French Republic. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Paris. All contractual obligations are subject to the French Commercial Code (Code de commerce) and applicable regulations of the Île-de-France region.
- Health and Safety: The supplier's personnel, when present at the Mason site in Paris, must comply with all French occupational health and safety regulations (Code du travail, Livre IV) and the site-specific safety plan established by Mason's HSE department.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in France, or strikes affecting the Paris metropolitan area, provided that the affected party notifies the other in writing within 72 hours.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Mason Construction & Stoneworks Ltd. and the supplier.
