Terms & Conditions — Mason S.r.l. Purchase Order (Italy Milan)
- Delivery: All goods listed in this Purchase Order shall be delivered to the Mason S.r.l. construction site located at Via Torino 142, 20129 Milan, Italy. The supplier is responsible for all transportation, loading, and unloading within the Italy Milan metropolitan zone. Delivery must be completed no later than 05 July 2025, between the hours of 07:00 and 17:00 CET, in accordance with local Milan municipal regulations regarding heavy vehicle access.
- Payment Terms: Payment shall be made by bank transfer (IBAN: IT60 X054 2811 1000 0000 0123 456) within 60 days from the date of invoice issuance. Mason S.r.l. reserves the right to withhold 10% of the total Purchase Order value as a retention until final acceptance of all materials at the Italy Milan site.
- Quality Assurance: All masonry blocks, cement, aggregates, and steel products must comply with the applicable European Norms (EN) and Italian national standards (UNI). The supplier shall provide mill certificates, batch test reports, and conformity declarations with each delivery. Mason S.r.l. quality inspectors stationed in Milan will conduct incoming inspections prior to acceptance.
- Warranty: The supplier warrants that all materials supplied under this Purchase Order are new, free from defects, and fit for structural masonry construction purposes. A minimum warranty period of 24 months applies from the date of delivery at the Italy Milan project site.
- Penalties for Late Delivery: In the event of delayed delivery beyond the stipulated date, the supplier shall pay a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%. Mason S.r.l. reserves the right to cancel this Purchase Order and source alternative materials if delivery is delayed by more than 14 days.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in the Milan region, or supply chain disruptions. Affected parties must notify Mason S.r.l. in writing within 48 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
- Environmental Compliance: All materials must meet the environmental standards set forth by the Lombardy Regional Authority. The supplier shall ensure proper waste packaging management in compliance with Italy Milan municipal waste disposal regulations.
