Applicable Law: This Purchase Order is governed by and shall be interpreted in accordance with the Italian Civil Code (Codice Civile, Libro V — D.Lgs. 16 marzo 1942, n. 266) and all applicable regional and municipal regulations of the Lazio region and the Comune di Roma, Italy.
Delivery and Site Access: All materials shall be delivered to the project site in Rome, Italy, no later than 30 June 2025. Mason & Partners S.r.l. is responsible for obtaining all necessary permits for vehicle access and material storage within the ZTL (Zona a Traffico Limitato) of central Rome, Italy, as mandated by Roma Capitale traffic authority.
Quality Standards: All masonry materials must comply with Italian national standards (UNI) and European standards (EN) as referenced in the Technical Specification attached to this Purchase Order. The master mason (capomastro) assigned by Mason must hold a valid qualification recognized by the Camera di Commercio di Roma, Italy.
Health and Safety: Mason shall comply with D.Lgs. 81/2008 (Testo Unico sulla Sicurezza sul Lavoro) and all site-specific safety plans approved by the Coordinatore per la Sicurezza in Fase di Esecuzione (CSE) for this project in Rome, Italy.
Payment: Payment shall be made via bank wire transfer within thirty (30) calendar days of receipt of a valid Italian electronic invoice (fattura elettronica) transmitted through the Sistema di Interscambio (SdI) of the Agenzia delle Entrate, Italy. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather events affecting construction in Rome, Italy, government-mandated site closures, or supply chain disruptions, provided that written notice is given within five (5) business days.

By signing below, both parties acknowledge and accept all terms, conditions, line items, and obligations set forth in this Purchase Order.
