All Mason materials listed in this Purchase Order shall be delivered to the designated Japan Kyoto project site located at 1-1-1 Gion-machi, Higashiyama-ku, Japan Kyoto 605-0071. The delivery window for this Purchase Order is scheduled between June 25, 2025, and July 10, 2025. Mason Industrial Supply Group is responsible for all transportation, loading, and unloading of materials at the Japan Kyoto site. Delivery vehicles must comply with Japan Kyoto municipal traffic regulations, including restricted hours for heavy vehicles in the Higashiyama district. Mason shall provide a minimum of 48 hours written notice prior to each delivery batch to the Japan Kyoto site supervisor.
5. Terms and Conditions- Payment Terms: Net 45 days from the date of invoice issuance by Mason. Payment shall be made via bank transfer to Mason Industrial Supply Group's designated account. The total Purchase Order value of JPY 38,406,500 is due in full within the stated period.
- Quality Assurance: All Mason products must meet the specifications outlined in the Japan Kyoto Heritage Restoration Authority's technical standards. A 5% sample inspection will be conducted upon arrival at the Japan Kyoto site. Any Mason materials failing inspection must be replaced at Mason's sole expense within 7 business days.
- Warranty: Mason provides a 24-month warranty on all structural masonry materials (Items 001, 002, 004) and a 12-month warranty on consumable products (Items 003, 005, 006) delivered under this Purchase Order to Japan Kyoto.
- Force Majeure: Neither Mason nor the Buyer shall be liable for delays caused by natural disasters, including earthquakes or typhoons affecting the Japan Kyoto region, provided written notice is given within 5 days of the event.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Kyoto, followed by arbitration under the Japan Commercial Arbitration Association rules if mediation fails.
- Compliance: Mason certifies that all materials comply with Japanese Building Standards Law and Japan Kyoto municipal construction regulations. Mason shall provide all necessary material safety data sheets and certificates of origin with each delivery to Japan Kyoto.
- Substitution: Mason shall not substitute any item on this Purchase Order without prior written approval from the Japan Kyoto project manager. All substitutions must maintain or exceed the original specifications.
