General Terms Governing This Purchase Order
- Scope of Mason Work: StoneCraft Masonry Services Ltd. shall execute all mason and masonry works as specified in Section 2 of this Purchase Order at the Nairobi West Residential Complex site in Muthaiga, Nairobi, Kenya. No additional mason work shall be performed without a written variation order signed by both parties.
- Commencement and Completion: The mason contractor shall mobilise all personnel, tools, and materials to the Nairobi site within five (5) working days of the date of this Purchase Order. The total project duration for all mason works is fourteen (14) calendar weeks from the date of mobilisation.
- Payment Terms: Payment shall be made in three (3) milestones: 30% upon completion of foundation and ground beam concrete works; 40% upon completion of all brickwork and blockwork; and 30% upon final inspection, NCA sign-off, and handover of all mason works. Payments shall be processed via bank transfer to the vendor's designated account in Kenya within fourteen (14) days of invoice approval.
- Quality and Compliance: All mason work must conform to Kenyan Building Codes, NCA regulations, and the project specifications. The mason contractor shall provide material test certificates for cement, rebar, and concrete mix designs. Any non-conforming mason work shall be rectified at the contractor's own cost within forty-eight (48) hours of notification.
- Health, Safety, and Environment (HSE): The mason contractor shall comply with all Occupational Safety and Health Act (OSHA) requirements of Kenya. All mason workers on the Nairobi site must wear appropriate personal protective equipment (PPE). The contractor shall maintain a valid Workmen's Compensation Insurance policy for all mason personnel throughout the project duration.
- Local Sourcing: In line with the Kenyan government's local content policy, the mason contractor shall source a minimum of 70% of all mason materials (bricks, blocks, sand, aggregate, cement) from registered suppliers within Nairobi and the Nairobi County region.
- Warranty: The mason contractor provides a twelve (12) month warranty on all mason and masonry works from the date of final acceptance. Any defects in brickwork, blockwork, concrete, or plastering arising within this period shall be repaired at no additional cost to Eastgate Construction & Development Ltd.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act of Kenya, with the seat of arbitration in Nairobi, Kenya.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the mason works at the Nairobi West Residential Complex, Phase II, Nairobi, Kenya. This document constitutes a binding agreement between Eastgate Construction & Development Ltd. and StoneCraft Masonry Services Ltd. effective from the date of the last signature.
