- Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice from Mason & Sons Masonry Works B.V. Progress payments of 25% shall be issued at the completion of each major phase as defined in the project schedule.
- Delivery / Commencement: Mason shall commence works on-site in Netherlands Amsterdam no later than 1 July 2025. All materials must be delivered to the Prinsengracht 456 site no later than 20 June 2025.
- Quality Standards: All masonry work shall comply with NEN 1062, NEN 2580, and the applicable provisions of the Bouwbesluit 2012. Materials must carry CE marking and be suitable for the Amsterdam canal-side environment.
- Heritage Compliance: As the project site is a designated rijksmonument (national heritage building) in Amsterdam, all masonry work must be approved in advance by the Amsterdam Monumentenwacht. Mason shall submit all material samples and methodology plans for approval prior to commencement.
- Insurance: Mason shall maintain adequate professional liability insurance (beroepsaansprakelijkheid) of no less than EUR 2,000,000 and general liability insurance (AVB) of no less than EUR 5,000,000 for the duration of the contract.
- Warranty: Mason provides a warranty of five (5) years on all masonry workmanship and materials, in accordance with Dutch civil law (Burgerlijk Wetboek, Book 7, Section 9).
- Force Majeure: In the event of force majeure as defined under Dutch law, the affected party shall notify the other within 48 hours. Deadlines shall be extended accordingly.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be submitted to the competent court in Amsterdam, Netherlands.
- Health & Safety: Mason shall comply with all Arbo (Dutch occupational health and safety) regulations and the Amsterdam municipal construction site safety requirements. A site-specific safety plan (SMP) must be submitted before commencement.
