Terms & Conditions — Purchase Order VA-2025-MAS-00472
- 1. Scope: This Purchase Order is issued by Valencia Infraestructuras S.L. to Mason Construcciones y Materiales S.L. for the supply of masonry materials and the provision of skilled mason labor for the residential construction project located in Valencia, Spain. All materials must comply with current Spanish and European building regulations (CTE — Código Técnico de la Edificación).
- 2. Delivery: Mason shall deliver all materials to the project site in Valencia, Spain, at the address specified above. Delivery must occur within the stated delivery window. Late delivery beyond five (5) business days entitles the Buyer to a penalty of 0.5% of the affected line-item value per day of delay, capped at 10%.
- 3. Quality Assurance: All masonry products supplied by Mason must be accompanied by certificates of conformity, batch test reports, and material safety data sheets (FDS) in Spanish. The Buyer reserves the right to reject any non-conforming material at Mason's expense.
- 4. Payment: Payment shall be made via bank transfer (SEPA) to the account designated by Mason within thirty (30) calendar days of receipt of a valid invoice. The invoice must reference this Purchase Order number (VA-2025-MAS-00472) and include Mason's NIF. Late payment shall accrue interest at the European Central Bank reference rate plus eight (8) percentage points, in accordance with Spanish Royal Decree-Law 4/2013.
- 5. Mason Labor Services: The mason crew provided under Line Item 7 must hold valid Spanish work permits, social security registration (Seguridad Social), and appropriate professional qualifications. Mason is solely responsible for the employment, insurance, and occupational health and safety compliance of all mason workers on site.
- 6. Warranty: Mason provides a minimum two-year warranty on all supplied masonry materials and a one-year warranty on masonry workmanship performed by its crew in Valencia. Warranty claims must be submitted in writing within the warranty period.
- 7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes shall be resolved by the competent courts of Valencia, Comunitat Valenciana, Spain.
- 8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated work stoppages, or supply chain disruptions specific to the Valencia region.
- 9. Validity: This Purchase Order is valid for acceptance within ten (10) business days of the issue date. Mason must confirm acceptance in writing (email acceptable) by 24 June 2025.
