Terms & Conditions of This Purchase Order
- This Purchase Order is issued by Siam Metropolitan Development Group Co., Ltd. and is directed to Mason Construction & Masonry Supplies Co., Ltd. for the supply of masonry materials, structural components, and technical services as itemized above. All goods and services shall be delivered to the designated project site in Thailand Bangkok in accordance with the schedule specified herein.
- Mason shall ensure that all products conform to the Thai Industrial Standards Institute (TISI) specifications and the Mason proprietary quality standards. Certificates of conformity and material test reports must accompany each delivery batch.
- Delivery shall be made in full to the project site located in Bangkok, Thailand, no later than 28 June 2025. Partial deliveries are permitted only with prior written approval from the Buyer's procurement department. All logistics, loading, and unloading within Bangkok city limits shall be the responsibility of Mason.
- Payment shall be made in Thai Baht (THB) via bank transfer to the account designated by Mason within thirty (30) calendar days of receipt of a valid tax invoice (Fap Ka) issued in compliance with the Revenue Code of Thailand. The Buyer reserves the right to withhold payment for any items found to be non-conforming upon inspection.
- Mason warrants that all masonry products supplied under this Purchase Order shall be free from defects in material and workmanship for a period of twelve (12) months from the date of delivery in Bangkok. Any defective items must be replaced at Mason's sole cost within fourteen (14) days of written notice from the Buyer.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from or in connection with this document shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute. The language of this Purchase Order shall be English, with the Thai translation prevailing in the event of any discrepancy.
- Mason shall maintain adequate public liability insurance and workers' compensation coverage for all personnel operating within the Bangkok project site. Certificates of insurance must be provided prior to the commencement of any on-site service activities.
- Time is of the essence under this Purchase Order. Failure by Mason to deliver the complete order by the required date shall entitle the Buyer to liquidated damages of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value, without prejudice to the Buyer's right to terminate this Purchase Order for material breach.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the supply of Mason masonry products and services for the referenced project in Thailand Bangkok.
