All masonry materials and equipment listed in this Purchase Order shall be delivered to the project site located at Caddebostan Sahil Yolu No. 7, Kadıköy, Istanbul, Turkey. The supplier, Mermer & Taş Mason Services Ltd., is responsible for all transportation, loading, unloading, and on-site storage arrangements within the Turkey Istanbul metropolitan area. Delivery of the first batch of masonry bricks and cement shall commence no later than 21 June 2025, with subsequent deliveries scheduled in weekly intervals to align with the Mason crew's work progression. The Mason labor team shall be mobilized to the Istanbul site by 23 June 2025 and shall maintain a minimum of eight (8) skilled masons on-site at all times during active working hours.
Payment for this Purchase Order shall be made in accordance with the following schedule: (a) Thirty percent (30%) advance payment upon execution of this Purchase Order and receipt of a valid commercial invoice; (b) Fifty percent (50%) progress payment upon completion and inspection of the structural masonry phase; and (c) Twenty percent (20%) final payment upon successful completion of all Mason work, final quality inspection, and issuance of the completion certificate by the project engineer. All payments shall be made via bank transfer to the supplier's designated account in Turkish Lira (TRY) within fifteen (15) business days of invoice receipt. Late payments shall incur a penalty of 1.5% per month in accordance with Turkish commercial law.
All Mason work executed under this Purchase Order in Turkey Istanbul shall adhere to the following standards: TS EN 771-1 for masonry units, TS EN 1996-1 for masonry design, and TS EN 1996-2 for masonry execution. The Mason crew shall ensure that all brickwork joints are maintained at a uniform 10 mm thickness, that stone cladding is installed with proper expansion joints at 600 mm intervals, and that all mortar mixes conform to the specified 1:4 cement-to-sand ratio. The supplier shall provide a minimum of two (2) certified master masons with at least ten (10) years of experience in Istanbul construction projects to oversee daily operations. All masonry materials must carry valid CE marking and Turkish conformity documentation prior to delivery to the site.
6.1. This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Istanbul, Turkey.
6.2. The supplier warrants that all Mason materials are new, free from defects, and conform to the specifications stated herein. A warranty period of twenty-four (24) months applies to all masonry materials and workmanship.
6.3. The supplier shall maintain comprehensive liability insurance and workers' compensation coverage for all Mason personnel operating on the Istanbul site throughout the duration of this Purchase Order.
6.4. The buyer reserves the right to inspect and reject any masonry materials or work that does not meet the agreed specifications. Rejected items shall be replaced at the supplier's sole expense within five (5) business days.
6.5. Force majeure events, including but not limited to natural disasters affecting the Istanbul region, shall be handled in accordance with Article 136 of the Turkish Code of Obligations.
6.6. This Purchase Order remains valid for a period of ninety (90) days from the date of issue. Any modifications must be made in writing and signed by both parties.
