1. Delivery: All Mason materials and supplies listed in this Purchase Order shall be delivered to the project site located at 8801 SW 152nd Street, Miami, Florida 33183, United States Miami. Delivery shall occur in staged shipments no later than August 15, 2025. Mason Construction Supply & Materials, Inc. is responsible for all transportation, loading, and on-site staging costs as itemized in Line 9 of this Purchase Order.
2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from Mason Construction Supply & Materials, Inc. Payment shall be issued via wire transfer to the bank account designated by the supplier. A late payment penalty of 1.5% per month shall apply to any outstanding balance beyond the due date. The total Purchase Order value of $334,674.38 shall be disbursed in three equal installments tied to project milestones.
3. Quality and Compliance: All Mason-grade materials must meet or exceed ASTM C90, ASTM C139, and ACI 530.1 standards. Mason Construction Supply & Materials, Inc. shall provide mill certificates, batch test reports, and a Mason compliance certification for every shipment. Non-conforming materials will be rejected at the supplier's expense and replaced within five (5) business days.
4. Cancellation and Modification: This Purchase Order may be modified only by mutual written agreement between both parties. Cancellation of any line item after the order has been confirmed by Mason Construction Supply & Materials, Inc. shall incur a 15% restocking fee on the affected materials. The buyer reserves the right to cancel the entire Purchase Order with sixty (60) days written notice prior to the first delivery date.
5. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association. The venue for all legal proceedings shall be the federal or state courts located in Miami-Dade County, United States Miami.
6. Insurance and Liability: Mason Construction Supply & Materials, Inc. shall maintain general liability insurance of no less than $2,000,000 per occurrence and workers' compensation coverage for all mason labor personnel. The supplier shall indemnify and hold harmless the buyer against any claims, damages, or liabilities arising from defective Mason materials or negligent workmanship.
7. Force Majeure: Neither party shall be liable for delays caused by acts of God, hurricanes, tropical storms, or other natural events common to the United States Miami region, provided that the affected party gives written notice within forty-eight (48) hours of the event.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement between South Florida Development Group, LLC and Mason Construction Supply & Materials, Inc. for the procurement of masonry materials and services in the United States Miami area.
