- This Purchase Order constitutes a binding agreement between Shamvale Construction & Development (Pvt) Ltd (hereinafter "the Buyer") and Harare Mason & Stoneworks (Pvt) Ltd (hereinafter "the Mason Contractor") for the execution of all masonry and stonework services as itemised above at the project site located in Zimbabwe Harare.
- The Mason Contractor shall mobilise a minimum team of six (6) skilled Masons, two (2) apprentices, and one (1) site supervisor to the Zimbabwe Harare project site no later than 20 June 2025. All Mason personnel must hold valid Zimbabwean trade certificates and comply with the Occupational Safety and Health Act of Zimbabwe.
- All materials specified in this Purchase Order shall be sourced from approved suppliers within Zimbabwe Harare and its immediate environs. The Mason Contractor shall provide material certificates and batch test reports for all cement, aggregates, and structural steel prior to use.
- Payment shall be made in three (3) milestone instalments: 30% upon commencement and verification of the first phase of Mason work; 40% upon completion of all structural brickwork and concrete elements; and 30% upon final handover, snagging, and sign-off by the Buyer's project engineer. Each instalment shall be paid within thirty (30) calendar days of receipt of a valid tax invoice.
- The Mason Contractor warrants that all masonry work shall be executed in accordance with the Zimbabwe Building Regulations, SANS 10400 standards, and the specific architectural drawings referenced in Appendix A of this Purchase Order. Any non-conforming work shall be rectified at the Mason Contractor's own cost within seven (7) days of written notice.
- The Mason Contractor shall maintain adequate public liability insurance (minimum USD 500,000) and workers' compensation coverage for all Mason staff throughout the duration of the contract. Certificates of insurance shall be submitted to the Buyer prior to site mobilisation.
- Any variation or change order to the scope of Mason work must be approved in writing by the Buyer's project manager before execution. Unauthorised variations will not be compensated under this Purchase Order.
- The Mason Contractor shall keep the Zimbabwe Harare project site clean, safe, and free of debris at all times. All waste materials, including broken bricks, excess mortar, and stone offcuts, shall be removed from the site daily and disposed of at an authorised waste facility in Harare.
- This Purchase Order is governed by the laws of the Republic of Zimbabwe. Any disputes arising from this agreement shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwean law.
- The Mason Contractor shall not subcontract any portion of the masonry work without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
