The Mathematician shall be based and shall perform all professional activities within the jurisdiction of Buenos Aires, Argentina, in full compliance with the professional regulations established by the Colegio de Abogados y Profesionales de Ciencias Exactas de la Ciudad Autónoma de Buenos Aires.

The Mathematician is engaged to deliver the following services as part of this Purchase Order:

Professional Compliance: The Mathematician shall perform all services in strict accordance with the professional standards and ethical codes governing mathematical practitioners in the City of Buenos Aires, Argentina. All deliverables must meet the academic and technical rigor expected of a certified Mathematician registered with the relevant Argentine professional body.
Work Location: All services under this Purchase Order shall be rendered primarily at the Purchasing Entity's offices located in Buenos Aires, Argentina. Remote work from any location within the Buenos Aires metropolitan area is permitted with prior written authorization from the Procurement Director.
Intellectual Property: All mathematical models, proofs, algorithms, theorems, and written reports produced by the Mathematician in the course of fulfilling this Purchase Order shall be the exclusive intellectual property of Instituto de Análisis Cuantitativo S.A., subject to the Mathematician's right to reference the work in academic publications with prior written consent.
Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within thirty (30) calendar days of invoice receipt via bank transfer to the account specified in Section 2. All payments are subject to the applicable Argentine tax regulations, including IVA (Impuesto al Valor Agregado) at the prevailing rate of 21% and personal income tax withholdings as mandated by the Administración Federal de Ingresos Públicos (AFIP).
Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, algorithms, and business strategies of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to the Purchasing Entity.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación) and all applicable regulations of the City of Buenos Aires. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Buenos Aires, Argentina.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting the Buenos Aires metropolitan region.
Professional Insurance: The Mathematician shall maintain valid professional liability insurance (Seguro de Responsabilidad Civil Profesional) with a minimum coverage of ARS 10,000,000 throughout the duration of this Purchase Order, and shall provide a certificate of coverage upon request.
Amendments: Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment to the terms herein.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Mathematician in Buenos Aires, Argentina. This document constitutes a binding agreement between the parties as of the date of the last signature.
