- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia Sydney, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
- Scope of Engagement: The Mathematician, Dr. Eleanor V. Whitfield, agrees to perform the services described in the line items above in a professional, diligent, and timely manner. All mathematical work shall adhere to internationally recognised standards of mathematical rigour and peer-reviewed methodology.
- Intellectual Property: All mathematical models, proofs, derivations, documentation, and deliverables produced under this Purchase Order shall become the sole and exclusive property of Meridian Analytics & Research Pty Ltd upon full payment. The Mathematician retains the right to reference the engagement in academic publications only with prior written consent.
- Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, algorithms, and business strategies disclosed during the course of this engagement in Australia Sydney. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of the invoice date via bank transfer to the account nominated by the Mathematician. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over.
- Insurance and Compliance: The Mathematician warrants that they hold adequate professional indemnity insurance (minimum AUD $5,000,000) and comply with all applicable Australian privacy legislation, including the Privacy Act 1988 (Cth), for the duration of this engagement in Australia Sydney.
- Acceptance of Deliverables: All deliverables shall be subject to a ten (10) business day review period by the Requisitioning Department. Failure to raise written objections within this period shall constitute acceptance of the work performed by the Mathematician.
