- Scope of Engagement: The Mathematician, Dr. Alexander R. Whitfield, shall perform all duties and deliverables as specified in this Purchase Order. The Mathematician is engaged as an independent contractor and not as an employee of the Buyer. All work shall be conducted primarily at the Buyer's office located in Canada Vancouver, with remote work permitted upon prior written approval.
- Payment Terms: Payment shall be made in quarterly installments of $100,065.00 CAD (inclusive of GST), due within thirty (30) days of the end of each calendar quarter. The first payment is due September 30, 2025. All payments shall be made via electronic funds transfer (EFT) to the account designated by the Mathematician.
- Intellectual Property: All mathematical models, proofs, algorithms, theorems, and written documentation produced by the Mathematician under this Purchase Order shall be the sole intellectual property of Pacific Northwest Analytics Group Inc. The Mathematician retains the right to reference the work in academic contexts with prior written consent from the Buyer.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, trade secrets, and unpublished research materials accessed during the course of this engagement in Canada Vancouver. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance with Canadian Law: All services rendered under this Purchase Order shall comply with applicable federal and provincial laws of Canada, including but not limited to the Personal Information Protection and Electronic Documents Act (PIPEDA), the British Columbia Freedom of Information and Protection of Privacy Act (FIPPA), and all relevant tax obligations in Canada Vancouver.
- Performance Standards: The Mathematician shall meet all deliverable deadlines as outlined in the project timeline. Failure to meet a deadline without prior written notice and approved extension shall result in a deduction of 2% of the applicable line item amount per week of delay, up to a maximum of 15%.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables completed up to the effective date of termination. The Mathematician shall return all proprietary materials and documentation within fourteen (14) days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver, British Columbia, in accordance with the rules of the British Columbia Dispute Resolution Centre. If mediation is unsuccessful, disputes shall be subject to binding arbitration under the Arbitration Act of British Columbia.
- Insurance: The Mathematician shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
By signing below, the parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mathematician in Canada Vancouver. This document constitutes a binding agreement between the Buyer and the Supplier upon execution by both parties.
