3. Description of Purchase Order Scope

This Purchase Order is issued by Guangzhou Advanced Computational Sciences Institute to formally engage the services of a qualified Mathematician for a period of twelve (12) months, commencing 1 August 2025. The engagement is to be conducted primarily within the China Guangzhou metropolitan area, with the Mathematician providing on-site and remote analytical support to the Institute's research divisions. The scope of work encompasses advanced mathematical modelling, algorithmic design, statistical analysis, proof verification, and the development of computational frameworks for engineering and data-science applications. The Mathematician shall report directly to the Director of Research Procurement and shall adhere to all institutional protocols established under the China Guangzhou academic and industrial research guidelines.

5. Terms and Conditions

Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the commercial and academic regulations applicable in the China Guangzhou municipal jurisdiction. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Guangzhou Arbitration Commission.
Payment Schedule: Payment for the Mathematician's services shall be disbursed in quarterly installments of CNY 214,650.00, due within fifteen (15) business days following the end of each calendar quarter. The first installment is due on 31 October 2025. All payments shall be made via bank transfer to the account designated by the Mathematician, processed through a licensed financial institution in Guangzhou, China.
Intellectual Property: All mathematical theorems, proofs, algorithms, models, and derivative works produced by the Mathematician during the term of this Purchase Order shall be the sole intellectual property of GACSI, unless otherwise agreed in a separate written addendum. The Mathematician retains the right to publish original findings in peer-reviewed journals, subject to a thirty (30) day prior review by the Institute.
Performance Standards: The Mathematician shall deliver all analytical outputs, reports, and deliverables in accordance with the project timelines specified in the attached Statement of Work (SOW-2025-GZ-0112). Failure to meet milestones for two consecutive quarters may result in termination of this Purchase Order with thirty (30) days written notice.
Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and institutional information encountered during the engagement in China Guangzhou. This obligation survives the termination of this Purchase Order for a period of five (5) years.
Working Location: The primary place of performance for this Purchase Order is the GACSI facility in Tianhe District, Guangzhou, China. The Mathematician is expected to be on-site a minimum of four (4) days per week, with the remaining time allocated to remote work as approved by the Director of Research Procurement.
Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, calculated on a pro-rata monthly basis.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Guangzhou, or public health emergencies as declared by the China Guangzhou Municipal Government.
Compliance: The Mathematician warrants that all services rendered under this Purchase Order shall comply with the National Standard of the People's Republic of China (GB/T) for academic and professional services, as well as all applicable regulations of the Guangdong Provincial Department of Education and the Guangzhou Municipal Science and Technology Bureau.

6. Acceptance & Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Mathematician in China Guangzhou. This document constitutes a binding agreement effective from the date of the last signature.
