All disputes arising from this Purchase Order relating to the Mathematician's engagement in China Shanghai shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC), located in China Shanghai.
2. Commencement Date: The Mathematician shall commence all duties and obligations under this Purchase Order no later than 1 August 2025, at the Buyer's designated laboratory in Pudong New Area, China Shanghai.
3. Payment Terms: Payment shall be made in monthly installments via bank transfer to the Supplier's designated account. Invoices shall be submitted by the 5th business day of each month. Payment shall be processed within fifteen (15) calendar days of invoice receipt. All payments are denominated in Chinese Yuan (CNY) and subject to applicable Value Added Tax (VAT) at the rate of 6% for professional services as stipulated under China Shanghai tax regulations.
4. Intellectual Property: All mathematical theorems, proofs, algorithms, models, and research outputs developed by the Mathematician during the term of this Purchase Order shall be the exclusive intellectual property of the Buyer. The Mathematician shall execute all necessary assignment documents upon request.
5. Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, research methodologies, and unpublished findings encountered during the course of work in China Shanghai. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Work Visa and Residency: The Supplier shall ensure that the Mathematician holds a valid work permit and residence permit for China Shanghai in full compliance with the regulations of the Shanghai Municipal Public Security Bureau and the National Immigration Administration of the People's Republic of China.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Mathematician, the Buyer may terminate immediately upon written notice. Upon termination, all completed deliverables shall be transferred to the Buyer, and payment shall be made pro-rata for services rendered.
8. Performance Bond: The Supplier shall provide a performance bond equivalent to 10% of the total contract value (CNY 87,200.00) within ten (10) business days of the execution of this Purchase Order, to be held by the Buyer as security for the Mathematician's faithful performance of all obligations.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates affecting operations in China Shanghai, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
