This Purchase Order is issued by Innovative Research Solutions S.A.S. to formally procure the professional services of a qualified Mathematician for a defined period of engagement. The Mathematician, Prof. Alejandro Martínez Villalba, shall provide expert mathematical consulting, analytical modeling, and research support to the Buyer's engineering and data science divisions. All services shall be rendered primarily at the Buyer's offices located in Colombia, Medellín, with the possibility of remote collaboration as mutually agreed upon in writing.

The scope of work for the Mathematician includes, but is not limited to: the development of advanced numerical algorithms for the Buyer's logistics optimization platform; the formulation and validation of stochastic models for supply chain risk assessment; the provision of peer-reviewed mathematical proofs for proprietary software modules; and the mentoring of junior analysts in quantitative methods. The Mathematician is expected to deliver a minimum of 40 hours of professional service per week during the contract period, with all deliverables subject to the Buyer's quality assurance protocols.

5.1 This Purchase Order is governed by the commercial laws of the Republic of Colombia, specifically the Colombian Commercial Code (Código de Comercio) and applicable regulations from the Superintendencia de Industria y Comercio.

5.2 The Mathematician shall comply with all data protection obligations under Law 1581 of 2012 (Ley de Protección de Datos Personales) of Colombia. All proprietary data and intellectual property generated during the engagement shall remain the exclusive property of the Buyer.

5.3 Payment shall be made in monthly installments via bank transfer to the account designated by the Mathematician. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Late payments shall accrue interest at the rate established by the Banco de la República de Colombia.

5.4 The Mathematician is engaged as an independent contractor and not as an employee of the Buyer. The Mathematician is solely responsible for the payment of all applicable taxes, social security contributions (Pensión, Salud, ARL), and any other statutory obligations under Colombian labor and tax law.

5.5 Either party may terminate this Purchase Order with a written notice of 30 calendar days. In the event of termination, the Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination.

5.6 All disputes arising from this Purchase Order shall be resolved through arbitration in Medellín, Antioquia, Colombia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.

All on-site services, meetings, training sessions, and collaborative work related to this Purchase Order shall take place at the Buyer's premises in Colombia, Medellín, specifically at the address listed in Section 1. The Mathematician shall ensure punctuality and professional conduct in accordance with the standards expected in the professional community of Medellín. Remote work, if authorized, shall be conducted using the Buyer's secure virtual environment, and all deliverables must be submitted through the Buyer's project management portal.
