- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Democratic Republic of the Congo, specifically the Code des Marchés Publics (Law No. 011/2012) and applicable regulations of the DR Congo Kinshasa jurisdiction.
- Performance: The Mathematician shall commence services no later than 1 July 2025 and shall complete all deliverables by 30 June 2026. Any delay exceeding fifteen (15) calendar days without written justification may result in a penalty of 0.5% of the total contract value per day of delay.
- Payment Schedule: Payments shall be made in four (4) equal installments of 14,000,000 CDF each, due upon verified completion of each quarterly milestone. Payment shall be processed via bank transfer to the account designated by the Mathematician in a licensed financial institution operating in Kinshasa, DR Congo.
- Intellectual Property: All mathematical models, algorithms, code, and documentation produced under this Purchase Order shall remain the exclusive property of INRS Kinshasa. The Mathematician retains the right to publish general findings in peer-reviewed journals, subject to a 30-day prior review by the Buyer.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, agricultural records, and internal communications of the DR Congo Kinshasa research institutions involved in this project.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Mathematician shall be compensated for all services rendered up to the termination date at the pro-rata rate specified herein.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the competent commercial court of Kinshasa, DR Congo.
- Compliance: The Mathematician warrants that all services shall be performed in full compliance with professional ethical standards, the DR Congo Kinshasa labor regulations, and all applicable national and international research ethics guidelines.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Mathematician's professional services in the DR Congo Kinshasa region for the duration and scope described herein.
