This Purchase Order is issued by the Nile Valley Research & Development Institute, headquartered in Egypt Cairo, to formally engage the services of a qualified Mathematician for the duration of the project period specified herein. The Mathematician shall provide advanced mathematical modeling, statistical analysis, and algorithmic design services directly supporting the Institute's ongoing research programs in applied mathematics and computational science. All deliverables under this Purchase Order shall be produced in accordance with the academic and professional standards recognized by the Egyptian Ministry of Higher Education and the Egyptian Mathematical Society, both of which maintain their primary offices in Egypt Cairo.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Mathematician within ten (10) business days of the date of issue. The Mathematician's acceptance confirms full understanding of all obligations outlined in this document.
- Place of Performance: All services under this Purchase Order shall be performed primarily at the Nile Valley Research & Development Institute premises located in Egypt Cairo, unless otherwise agreed in writing by both parties. Remote work from any location within Egypt Cairo is permissible for up to thirty percent of total contracted hours.
- Payment Terms: Payment shall be made in three equal installments: thirty-three percent (33%) upon execution of this Purchase Order, thirty-three percent (33%) upon completion of Item Nos. 01 and 02, and the remaining thirty-four percent (34%) upon final delivery and acceptance of all deliverables. All payments shall be made in Egyptian Pounds (EGP) via bank transfer to the account designated by the Mathematician.
- Intellectual Property: All mathematical models, proofs, algorithms, and written reports produced by the Mathematician under this Purchase Order shall become the exclusive property of the Nile Valley Research & Development Institute upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent from the Institute.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and institutional information encountered during the performance of services in Egypt Cairo. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be delivered to the Institute.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Cairo in accordance with the rules of the Egyptian Arbitration Center.
- Compliance: The Mathematician warrants that all services shall comply with applicable Egyptian labor regulations, professional licensing requirements, and the ethical standards of the Egyptian Mathematical Society. The Mathematician shall maintain valid professional registration throughout the term of this Purchase Order.
