Description of Purchase OrderThis Purchase Order is issued by the Université de Lyon – Institut de Recherche en Mathématiques Appliquées, located in France Lyon, for the engagement of a qualified Mathematician to provide specialized academic and research consulting services. - Validity: This Purchase Order is valid for a period of 30 calendar days from the date of issue. The Service Provider must confirm acceptance in writing within this period for the Purchase Order to become binding.
- Qualification of the Mathematician: The Mathematician assigned to fulfil the obligations under this Purchase Order must hold a minimum of a Doctorate (PhD) in Mathematics or a closely related field from a recognized French or international university. The Service Provider shall submit the Mathematician's curriculum vitae, academic credentials, and professional references to the Purchasing Entity prior to commencement of work in France Lyon.
- Place of Performance: All services described in this Purchase Order shall be performed at the premises of the Université de Lyon, France Lyon, or at such other location in France Lyon as mutually agreed in writing by both parties. The Mathematician is expected to be physically present in France Lyon for a minimum of four (4) working days per week.
- Payment Terms: Payment shall be made in monthly instalments within 30 days of receipt of a valid invoice from the Service Provider. The first payment shall be due upon the Mathematician's confirmed start date in France Lyon. All payments shall be made via bank transfer to the account designated by Lyon Mathematical Consulting SARL.
- Intellectual Property: All mathematical research outputs, theorems, proofs, software code, and documentation produced by the Mathematician in the course of performing this Purchase Order shall be the exclusive property of the Université de Lyon, France Lyon, unless otherwise agreed in a separate written addendum.
- Confidentiality: The Mathematician and the Service Provider agree to maintain strict confidentiality regarding all proprietary data, unpublished research, and internal communications encountered during the performance of this Purchase Order in France Lyon. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with a written notice of 30 days. In the event of early termination, the Purchasing Entity shall pay for all services rendered up to the date of termination, as documented by the Mathematician's timesheets and deliverables.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of France Lyon, Rhône department.
- Compliance: The Service Provider warrants that the Mathematician engaged under this Purchase Order complies with all applicable French labour regulations, tax obligations, and professional standards as enforced in France Lyon and throughout the French Republic.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting France Lyon.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Mathematician in France Lyon. This document constitutes the complete and final agreement between the parties with respect to the subject matter herein.
