All services described in this Purchase Order shall be rendered by the Mathematician between 1 July 2025 and 31 December 2025. On-site work shall take place at the SRAM research facility located at 42 Boulevard du Littoral, 13008 France Marseille. Remote consultations shall be conducted via encrypted video conferencing with all data stored on servers physically located within the French Republic to comply with GDPR and French data sovereignty requirements.
Interim progress reports shall be submitted by the Mathematician at the end of each calendar month. Final deliverables, including all source code, mathematical proofs, and documentation, shall be handed over no later than 15 January 2026.
Payment for this Purchase Order shall be made in three instalments via SEPA bank transfer to the account of the Mathematician as follows:

Payment terms are net 30 days from the date of the corresponding invoice. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Code de Commerce.
- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the French Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille.
- Intellectual Property: All mathematical models, algorithms, proofs, and documentation created by the Mathematician in the course of this engagement shall become the exclusive property of SRAM upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent from SRAM.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and trade secrets of SRAM. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Subcontracting: The Mathematician shall not subcontract any portion of the services described in this Purchase Order without the prior written approval of SRAM's Procurement Director.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, SRAM shall pay for all services rendered up to the date of termination at the rates specified herein.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in France Marseille or elsewhere in France.
- Compliance: The Mathematician warrants that all services shall be performed in full compliance with French labour law, EU data protection regulations (GDPR), and all applicable professional standards for mathematical and scientific consultancy in France.
This Purchase Order becomes effective upon signature by both parties. By signing below, the Buyer authorises the Mathematician to commence services as described herein, and the Mathematician accepts the terms, conditions, and scope of work set forth in this document. Both parties acknowledge that this Purchase Order constitutes a binding contractual agreement under French civil law (Code civil, Articles 1101–1104).
