Terms and Conditions

This Purchase Order constitutes a binding agreement between the Institut de Recherche en Sciences Appliquées and the named Mathematician for the provision of professional mathematical services as described herein. All work shall be performed primarily at the France Paris premises unless otherwise agreed in writing.
The Mathematician warrants that all mathematical work, proofs, algorithms, and software deliverables shall be original, free from intellectual property infringement, and conform to the highest standards of academic and professional rigor recognized in France Paris and the broader European mathematical community.
Payment shall be processed via bank transfer to the account designated by the Mathematician. Invoices must reference this Purchase Order number (PO-FR-2025-00487) and shall be submitted monthly by the 5th business day. Late payments shall accrue interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
The Mathematician shall comply with all applicable French labor regulations, data protection laws (RGPD / GDPR), and institutional safety protocols while working on-site in France Paris. A valid professional liability insurance certificate shall be provided prior to the commencement of services.
Confidentiality: All data, research findings, proprietary algorithms, and internal communications accessed by the Mathematician during the course of this engagement in France Paris shall be treated as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
Intellectual Property: All work product created specifically for the Institut under this Purchase Order shall be the exclusive property of the Institut. The Mathematician retains the right to publish general academic findings, provided that no proprietary or confidential information of the Institut is disclosed, and prior written approval is obtained for any publication referencing France Paris project data.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to the Institut.
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within sixty (60) days, the matter shall be submitted to the competent commercial court of France Paris (Tribunal de Commerce de Paris).
This Purchase Order is governed by the laws of the French Republic. All communications regarding this document shall be directed to the procurement office at the France Paris headquarters.
