This Purchase Order constitutes a binding agreement between the Hesse State Research & Analytics Consortium and the named Mathematician for the provision of professional mathematical services in Germany Frankfurt. 2. All services described herein shall be performed by the Mathematician personally and shall not be subcontracted without prior written consent from the Consortium's Procurement Director in Germany Frankfurt.
3. The Mathematician shall comply with all applicable German labour regulations, data protection laws (GDPR / DSGVO), and the specific intellectual property policies of the HSRAC. All mathematical models, algorithms, and reports produced under this Purchase Order shall be the exclusive property of the Consortium.
4. Payment shall be made via SEPA bank transfer to the account designated by the Mathematician. Invoices must reference this Purchase Order number (HSRAC-2025-MATH-0472) and shall be submitted monthly by the fifth (5th) business day. Payment is due within thirty (30) calendar days of receipt of a valid invoice.
5. The Mathematician is required to maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the term of this Purchase Order and within the jurisdiction of Germany Frankfurt.
6. Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of early termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, plus a reasonable wind-down period of two (2) weeks.
