This Purchase Order is issued by Accra Applied Sciences & Analytics Ltd. to formally engage the services of the above-named Mathematician, Prof. Adjoa Mensah-Bonsu, for the provision of specialized mathematical consulting, modelling, and analytical services to be performed in Ghana Accra. The Mathematician shall deliver all work products, attend all on-site meetings, and conduct all fieldwork within the boundaries of the Greater Accra Region, Republic of Ghana, unless otherwise agreed in writing.

- Place of Performance: All services under this Purchase Order shall be rendered in Ghana Accra, Republic of Ghana. The Mathematician shall be present at the buyer's designated office at 12 Independence Avenue, Osu District, Ghana Accra, for all on-site deliverables and meetings.
- Commencement and Completion: The Mathematician shall commence work no later than 21 June 2025 and shall complete all deliverables by 30 August 2025, unless a written extension is mutually agreed upon.
- Payment Schedule: Payment shall be made in three equal instalments: 30% upon execution of this Purchase Order, 40% upon delivery of the stochastic model and feasibility report, and the remaining 30% upon final acceptance of all deliverables. All payments shall be made in Ghanaian Cedis via bank transfer to the Mathematician's designated account in Ghana Accra.
- Intellectual Property: All mathematical models, algorithms, reports, and documentation produced by the Mathematician under this Purchase Order shall become the exclusive property of Accra Applied Sciences & Analytics Ltd. upon full payment. The Mathematician retains the right to reference the engagement in academic publications, subject to a 90-day confidentiality period.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, trade secrets, and business strategies of the buyer encountered during the performance of services in Ghana Accra. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Ghanaian Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana, including the Ghana Revenue Authority tax regulations, the Labour Act 2003 (Act 651) as applicable to independent professional engagements, and all relevant provisions of the Ghanaian Companies Act 2019 (Act 992).
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties in Ghana Accra. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Ghana Arbitration Centre, with the seat of arbitration in Ghana Accra.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the buyer shall pay the Mathematician for all services satisfactorily rendered up to the date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Ghana Accra, or public health emergencies, provided that the affected party notifies the other in writing within five (5) business days.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Mathematician's signed proposal dated 28 May 2025, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of the Mathematician in Ghana Accra.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Mathematician in Ghana Accra.
