This Purchase Order is issued by PT Nusantara Scientific Solutions to formally engage the services of a qualified Mathematician for the purpose of providing advanced mathematical consulting, model development, and analytical support for our infrastructure optimization project located in Indonesia Jakarta. 4. TERMS AND CONDITIONS
- Scope of Engagement: The Mathematician shall perform all mathematical consulting, modeling, and analytical services strictly within the scope defined in this Purchase Order. Any additional services beyond the stated scope in Indonesia Jakarta shall require a written amendment to this Purchase Order signed by both parties.
- Performance Period: The Mathematician shall commence work on 1 July 2025 and shall complete all deliverables no later than 30 September 2025. All on-site work shall be conducted at the project office located in Indonesia Jakarta, specifically at the SCBD District premises of PT Nusantara Scientific Solutions.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon delivery and acceptance of the interim mathematical models, and 30% upon final acceptance of the comprehensive report. All payments shall be made via bank transfer to the account specified in Section 2. Payment is due within fourteen (14) calendar days of invoice submission.
- Tax Compliance: The Mathematician is responsible for all personal income tax (PPh Pasal 21) obligations as mandated by the Directorate General of Taxes of the Republic of Indonesia. PT Nusantara Scientific Solutions shall withhold applicable taxes in accordance with Indonesian tax law and remit them to the relevant tax authority in Indonesia Jakarta.
- Intellectual Property: All mathematical models, derivations, code, reports, and documentation produced by the Mathematician under this Purchase Order shall become the exclusive property of PT Nusantara Scientific Solutions upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent.
- Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, project specifications, and business information of PT Nusantara Scientific Solutions. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Quality Assurance: All mathematical deliverables shall be subject to peer review by an independent Mathematician appointed by PT Nusantara Scientific Solutions. The Mathematician shall address all identified errors or deficiencies within five (5) working days at no additional cost.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the termination date, and all work-in-progress materials shall be delivered to PT Nusantara Scientific Solutions in Indonesia Jakarta.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through the Commercial Court (Pengadilan Niaga) in Indonesia Jakarta, or through arbitration at the Indonesian National Board of Arbitration (BANI) in Jakarta, as mutually agreed by both parties.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government regulations, or public health emergencies affecting Indonesia Jakarta, provided that the affected party notifies the other within forty-eight (48) hours.
5. ACCEPTANCE AND AUTHORIZATION
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Mathematician for services to be performed in Indonesia Jakarta. This Purchase Order constitutes a binding agreement between the parties upon execution.
