This Purchase Order is issued by the Tehran Applied Sciences Research Institute to formally engage the services of a qualified Mathematician for the purpose of advanced theoretical and applied mathematical research, model development, and analytical consultancy. The Mathematician shall provide expert services in the fields of differential equations, numerical analysis, optimization theory, and statistical modeling as required by the Institute's ongoing research programs conducted in Iran Tehran. All deliverables under this Purchase Order shall be completed in accordance with the academic and professional standards recognized by the Iranian Academy of Sciences and the relevant regulatory bodies operating in Iran Tehran.

5. Terms and Conditions

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Mathematician within ten (10) business days of the date of issue. The Mathematician shall confirm acceptance in writing to the procurement office of TASRI in Iran Tehran.
2. Performance Period: All services described in this Purchase Order shall be rendered between 1 July 2025 and 31 December 2025. The Mathematician is expected to be physically present at the TASRI facility in Iran Tehran for a minimum of three (3) days per week during the engagement period.
3. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon delivery of the mathematical framework and solver package (Item 02 and 05), and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the account designated by the Mathematician.
4. Quality Assurance: All mathematical work delivered under this Purchase Order shall be subject to internal peer review by the TASRI Research Quality Committee. Any deliverable found to contain significant errors or methodological deficiencies shall be returned to the Mathematician for correction at no additional cost within fifteen (15) business days.
5. Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and institutional information accessed during the course of this engagement in Iran Tehran. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Intellectual Property: All mathematical models, algorithms, code, and documentation created specifically for TASRI under this Purchase Order shall be the sole property of the Institute. The Mathematician retains the right to publish general theoretical findings, provided that no proprietary TASRI data is disclosed.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be delivered to TASRI.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran in accordance with the rules of the Tehran Regional Arbitration Center (TRAC).
9. Compliance: The Mathematician warrants that all services provided under this Purchase Order comply with the professional standards and ethical guidelines established by the Iranian Mathematical Society and the relevant regulatory authorities in Iran Tehran.

6. Delivery and Location of Services

All on-site services, mentoring sessions, and collaborative research activities under this Purchase Order shall be conducted at the TASRI headquarters located at 142 Valiasr Street, North Kharazmi Avenue, Tehran, Iran Tehran. Remote collaboration via secure digital channels is permitted for up to two (2) days per week at the discretion of the Mathematician, provided that all data transfers comply with the Iranian data protection regulations applicable in Iran Tehran.
