3. Description of Services — Mathematician Engagement

This Purchase Order is issued by the Jerusalem Institute for Advanced Mathematical Research (JIAMR) to engage the services of a qualified Mathematician, Prof. David Ben-Ari, for the purpose of providing specialized mathematical consulting, research supervision, and analytical problem-solving services. The Mathematician shall perform all duties in accordance with the professional standards established by the Israel Mathematical Society and in compliance with all applicable regulations of the State of Israel. The engagement is specifically tailored to support the Institute's ongoing research programs in number theory, algebraic geometry, and applied computational mathematics, all conducted from the Institute's primary facility located in Jerusalem, Israel.

5. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
Scope of Mathematician Services: The Mathematician agrees to perform all services described in Section 4 with the highest degree of professional competence, adhering to the ethical standards of the Israel Mathematical Society. All mathematical work product, including theorems, proofs, algorithms, and documentation, shall become the exclusive intellectual property of JIAMR upon full payment.
Performance Location: All on-site services shall be rendered at the JIAMR premises in Jerusalem, Israel, or at such other location within Jerusalem, Israel, as mutually agreed upon in writing by both parties.
Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the six-month milestone, and 25% upon final delivery and acceptance of all Mathematician services. All payments shall be transferred via bank wire to the account specified in Section 2.
Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary research data, unpublished theorems, and institutional information encountered during the course of this engagement in Jerusalem, Israel. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be delivered to JIAMR in Jerusalem, Israel.
Compliance: The Mathematician warrants that all services provided under this Purchase Order comply with the regulations of the Israel Tax Authority, the Israel Labor Ministry, and all applicable professional licensing requirements within the State of Israel.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Jerusalem, Israel.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Mathematician in Jerusalem, Israel. This document constitutes a binding agreement effective from the date of the last signature.
