This Purchase Order is issued by the Levantine Applied Sciences Institute Ltd. (hereinafter referred to as the "Buyer") for the engagement of a qualified Mathematician to provide specialized analytical, computational, and theoretical services. The engagement shall be performed in and around Israel Tel Aviv, and all deliverables shall conform to the standards established within this Purchase Order document.
The Buyer hereby requests the Seller, a certified Mathematician with a Doctorate in Applied Mathematics from the Technion – Israel Institute of Technology, to perform the following services within the Israel Tel Aviv metropolitan area:

All services described in this Purchase Order shall be rendered by the Mathematician within the geographic boundaries of Israel Tel Aviv, including but not limited to the central, northern, and southern districts of the city. The primary work location shall be the Buyer's headquarters at 12 HaYarkon Street, Tel Aviv-Yafo. The Mathematician is expected to be physically present at the designated work site for a minimum of four (4) days per week during the active engagement period, unless otherwise agreed in writing by both parties. Any remote work performed from the Mathematician's personal office in Tel Aviv shall be pre-approved by the Buyer's project manager and documented in the weekly progress reports.
4.1 – Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Mathematician (Seller) within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
4.2 – Performance Period: The engagement of the Mathematician shall commence on 1 July 2025 and conclude on 31 December 2025, subject to satisfactory completion of all deliverables listed in Section 2. Extensions may be granted only via a formal amendment to this Purchase Order, signed by both parties in Israel Tel Aviv.
4.3 – Payment Schedule: Payment shall be made in three (3) equal installments: 33% upon commencement of work, 33% upon delivery of the numerical simulation framework (Item 002), and the remaining 34% upon final acceptance of all deliverables. All payments shall be transferred via bank wire to the Mathematician's designated account in Tel Aviv, Israel, within thirty (30) days of invoice receipt.
4.4 – Intellectual Property: All mathematical models, algorithms, proofs, code, and documentation produced by the Mathematician under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Mathematician retains the right to reference general methodologies in academic publications, provided no proprietary data from the Buyer is disclosed.
4.5 – Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all data, algorithms, and business information encountered during the engagement in Israel Tel Aviv. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.6 – Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination, as calculated on a pro-rata basis.
4.7 – Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Tel Aviv, Israel, in accordance with the rules of the Tel Aviv Arbitration Center.
4.8 – Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Israel Tel Aviv, or acts of war, provided that the affected party notifies the other within forty-eight (48) hours.
All deliverables produced by the Mathematician shall be subject to a formal review process conducted by the Buyer's senior engineering team in Tel Aviv, Israel. The Mathematician shall provide interim progress reports every two (2) weeks. Final acceptance of each deliverable requires written sign-off from the Buyer's Chief Technology Officer. In the event that a deliverable fails to meet the specifications outlined in this Purchase Order, the Mathematician shall have fifteen (15) business days to rectify the deficiencies at no additional cost to the Buyer.
