- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Italy Naples, Campania.
- Performance Period: The Mathematician shall render all services between 1 September 2025 and 31 August 2026. All on-site work shall take place at the Department premises in Italy Naples, Via Claudio 21.
- Payment Schedule: Payment shall be made in three equal instalments: 40% upon execution of this Purchase Order, 30% upon completion of the mid-term deliverables (Items 01–03), and 30% upon final acceptance of all deliverables. Payment shall be processed via bank transfer to the account specified by the Mathematician within 30 days of invoice receipt.
- Intellectual Property: All research outputs, publications, and software developed under this Purchase Order shall be jointly owned by the Mathematician and the Università degli Studi di Napoli Federico II, with full attribution to both parties. The Mathematician retains the right to present findings at academic conferences in Italy Naples and internationally.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all unpublished data, internal project documents, and student information encountered during the engagement in Italy Naples.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Mathematician shall be compensated for all services rendered up to the termination date, pro-rated accordingly.
- Compliance: The Mathematician warrants that all services shall comply with Italian data protection regulations (GDPR – Regolamento UE 2016/679) and the internal research ethics guidelines of the institution in Italy Naples.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or governmental restrictions affecting the city of Naples, Italy.
This Purchase Order constitutes a formal and binding request for the Mathematician services described herein. By signing below, both parties acknowledge and agree to all terms, conditions, and deliverables specified in this document. This Purchase Order is valid for acceptance within 14 calendar days of the issue date.
