4.1 This Purchase Order constitutes a binding agreement between the Istituto Nazionale di Ricerca Matematica (hereinafter "the Buyer") and the named Mathematician (hereinafter "the Service Provider") for the provision of professional mathematical services as described in Section 3.
4.2 All services shall be performed in accordance with the professional standards established by the Albo Professionale dei Matematici and applicable Italian legislation governing professional services. The Mathematician warrants that all deliverables shall be original, free from intellectual property encumbrances, and delivered in a timely manner.
4.3 The primary place of performance for all on-site activities is Italy Rome. The Service Provider shall report to the institute's offices at Via dei Condotti 42, 00187 Rome, on the schedule agreed upon in the attached project timeline (Annex A).
4.4 Payment shall be made via bank transfer (bonifico bancario) within thirty (30) calendar days of receipt of a valid invoice (fattura elettronica) issued in compliance with Italian electronic invoicing regulations (SdI – Sistema di Interscambio). The Buyer's IBAN and payment reference shall be provided upon request.
4.5 The Mathematician shall maintain full professional liability insurance (RC professionale) with a minimum coverage of €1,000,000 for the entire duration of this Purchase Order. A certificate of insurance shall be submitted prior to the commencement of services.
4.6 In the event of non-performance or material breach by either party, the aggrieved party shall provide written notice of default. A cure period of fifteen (15) business days shall apply before any termination or penalty provisions are invoked.
4.7 All disputes arising from this Purchase Order shall be resolved exclusively by the competent courts of Rome, Italy. The parties irrevocably submit to the jurisdiction of the Tribunale di Roma for any litigation that may arise.
4.8 This Purchase Order is governed by the laws of the Italian Republic. Any provisions inconsistent with mandatory Italian law shall be deemed void and replaced by the applicable statutory provision.
5. Acceptance and AuthorizationBy signing below, the undersigned parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. The Service Provider confirms availability to commence the Mathematician engagement no later than 1 July 2025 at the designated location in Italy Rome.
