1. Description of Purchase Order ScopeThis Purchase Order is issued by the Tokyo Metropolitan Institute of Advanced Mathematical Sciences (TMAIMS) to formally engage the services of a qualified Mathematician for a period of twelve (12) months, commencing 1 August 2025 and concluding 31 July 2026. The Mathematician shall be based in Japan Tokyo and shall provide full-time professional mathematical research, analysis, and consulting services to support the Institute's ongoing programs in applied mathematics, computational modeling, and quantitative finance. All deliverables, reports, and communications related to this Purchase Order shall be conducted in the Japan Tokyo metropolitan area unless otherwise specified in writing by the Procurement Director.

3.1 This Purchase Order is governed by the laws of Japan and shall be interpreted in accordance with the Civil Code of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
3.2 The Mathematician shall devote a minimum of forty (40) hours per week to the services described herein. All work shall be performed primarily at the TMAIMS facility in Japan Tokyo, with remote work permitted only with prior written approval from the Procurement Director.
3.3 All intellectual property, mathematical proofs, theorems, algorithms, and research outputs generated by the Mathematician in the course of fulfilling this Purchase Order shall be the exclusive property of TMAIMS. The Mathematician shall sign a separate Intellectual Property Assignment Agreement prior to the commencement date.
3.4 Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Mathematician. Invoices shall be submitted monthly by the fifth (5th) business day of the following month. Late payments shall incur interest at a rate of 1.5% per month as stipulated under Japanese commercial law.
3.5 The Mathematician shall maintain professional liability insurance with a minimum coverage of 50,000,000 JPY throughout the duration of this Purchase Order. Proof of insurance shall be provided to TMAIMS within fourteen (14) days of the commencement date.
3.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to TMAIMS.
3.7 The Mathematician shall comply with all applicable Japanese labor regulations, tax obligations, and data protection laws (Act on the Protection of Personal Information) while performing services in Japan Tokyo.
4. Delivery and CommencementThe Mathematician shall report to the TMAIMS Japan Tokyo headquarters on 1 August 2025 at 09:00 JST for onboarding. The first monthly deliverable report shall be due by 5 September 2025. All project milestones shall be tracked through the TMAIMS internal project management system, and progress reviews shall be conducted bi-weekly in the Japan Tokyo office.
5. Acceptance and AuthorizationThis Purchase Order constitutes a binding commitment upon signature by both parties. By signing below, the undersigned confirm that they have read, understood, and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Mathematician in Japan Tokyo.
