- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and the applicable international trade regulations. Any disputes arising from this Purchase Order related to the Mathematician services and equipment shall be resolved through arbitration in Almaty, Kazakhstan, under the rules of the Almaty International Arbitration Centre.
- Payment Terms: Payment shall be made in United States Dollars (USD) via international wire transfer to the vendor's designated bank account. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in two equal installments: 50% upon delivery of all physical goods to Almaty, Kazakhstan, and 50% upon successful completion and acceptance of all Mathematician consulting and training services.
- Delivery Terms: All goods shall be delivered Incoterms 2020 DDP (Delivered Duty Paid) to the address specified in Almaty, Kazakhstan. The vendor assumes full responsibility for international shipping, customs clearance in the Republic of Kazakhstan, and final delivery to the Almaty Scientific Computing Institute premises.
- Quality Assurance: All Mathematician software licenses must be genuine, fully licensed, and compatible with the specified hardware. All hardware components must be new, factory-sealed, and carry a minimum 3-year manufacturer warranty valid in Kazakhstan. The Mathematician consulting services must be delivered by professionals holding a minimum of a Ph.D. in Mathematics or an equivalent doctoral degree.
- Intellectual Property: All research outputs, mathematical proofs, theorems, and publications generated by the Mathematician during the engagement period shall remain the exclusive intellectual property of the Almaty Scientific Computing Institute. The vendor and the Mathematician shall sign a non-disclosure agreement prior to commencing any work in Almaty, Kazakhstan.
- Compliance: The vendor warrants that all items and services under this Purchase Order comply with the regulations of the Republic of Kazakhstan, including but not limited to the Law on Import and Export, the Law on Personal Data Protection, and all applicable tax codes. The Mathematician services must comply with the ethical standards of the International Mathematical Union (IMU).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to international trade routes affecting delivery to Almaty, Kazakhstan.
- Warranty and Support: The vendor shall provide 12 months of technical support for all hardware and software delivered under this Purchase Order. Support requests shall be handled within 48 hours. On-site support in Almaty, Kazakhstan shall be provided at no additional cost for critical failures.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the vendor shall be compensated for all Mathematician services rendered and goods delivered prior to the termination date.
